4. Service Agreements and Payment

Specific services will be governed by individual service agreements or statements of work that detail scope, pricing, deliverables, and timelines. These agreements supplement and are incorporated into these Terms.

4.2 Fees and Payment

You agree to pay all fees specified in your service agreement. Fees are due according to the payment terms outlined in your agreement. Failure to pay may result in suspension or termination of services.

4.3 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Intellectual Property

5.1 Company Property

All content, materials, and intellectual property provided by Star Valley Technology remain our exclusive property unless otherwise specified in a service agreement.

5.2 Client Property

You retain all rights to your data, content, and intellectual property. You grant us a limited license to use such materials solely for the purpose of providing our services.

5.3 Work Product

Ownership of work product (such as custom software or solutions) will be specified in individual service agreements.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services.

7. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to such collection and use.

8. Warranties and Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• STAR VALLEY TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Star Valley Technology and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services or violation of these Terms.

11. Term and Termination

11.1 Term

These Terms remain in effect while you use our services or until terminated as described below.

11.2 Termination

Either party may terminate services according to the terms specified in the applicable service agreement. We reserve the right to suspend or terminate services immediately for violation of these Terms or non-payment.

11.3 Effect of Termination

Upon termination, you remain responsible for any outstanding fees. We will return or destroy your confidential information as specified in your service agreement.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiations.

12.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Star Valley Technology is located.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Star Valley Technology operates, without regard to its conflict of law provisions.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Star Valley Technology regarding the use of our services.
